TRADE SECRET NON-DISCLOSURE AGREEMENT (TSNDA)

By accessing this document, I acknowledge and agree to the following:

1. Confidential Information. The contents of this document, including but not limited to technology architecture, source code references, infrastructure details, security protocols, financial data, development methodologies, and all related materials (collectively, "Confidential Information"), constitute trade secrets and proprietary information of PhilSocial LLC, a Delaware based company ("Company").

2. Non-Disclosure. I agree not to disclose, publish, distribute, copy, reproduce, or otherwise share any Confidential Information contained herein with any third party without the prior written consent of the Company.

3. Permitted Use. I shall use the Confidential Information solely for the purpose of evaluating a potential business relationship, investment opportunity, or partnership with the Company.

4. Protection Obligation. I agree to protect the Confidential Information with at least the same degree of care I use to protect my own confidential information, but in no event less than reasonable care.

5. Return or Destruction. Upon request by the Company, I shall promptly return or destroy all copies of the Confidential Information in my possession.

6. Legal Remedies. I understand that unauthorized disclosure of trade secrets may result in irreparable harm to the Company and may subject me to legal action, including injunctive relief and monetary damages, under applicable trade secret protection laws including the Defend Trade Secrets Act (DTSA) and the Uniform Trade Secrets Act (UTSA).

7. Duration. This agreement remains in effect for a period of five (5) years from the date of access or until the Confidential Information ceases to qualify as a trade secret, whichever occurs first.
